By engaging TSF — The Solo Founder ("TSF", "we", "I") for software development, consultancy, or related services, you agree to be bound by these Terms of Service. If you do not agree, do not engage our services.
TSF provides custom software development, IT consultancy, system architecture, and related technical services. The scope of services for each engagement is defined in a separate Project Agreement or Statement of Work (SOW).
Each project begins with a written agreement specifying scope, deliverables, timelines, milestones, and payment terms. Changes to scope require a written amendment agreed upon by both parties.
Payment terms are defined per project. Standard terms require an upfront deposit before work begins, with milestone-based payments thereafter. All invoices are due within 14 days of issuance unless otherwise agreed.
Upon receipt of full payment, TSF assigns all intellectual property rights in the custom deliverables to the client. TSF retains ownership of pre-existing tools, frameworks, and methodologies used in the work.
TSF treats all client information as confidential and will not disclose project details, business information, or proprietary data to third parties without written consent, except as required by law.
TSF warrants that deliverables will materially conform to the agreed specifications. TSF's liability is limited to the total fees paid for the specific project giving rise to the claim. TSF is not liable for indirect, consequential, or incidental damages.
Either party may terminate the engagement with 14 days written notice. Client owes payment for all work completed to the termination date. TSF will deliver all completed work upon receipt of final payment.
These terms are governed by the laws of India. Disputes shall be resolved through good-faith negotiation, followed by binding arbitration if necessary.
